1.0 INTRODUCTION
1.1 Agreement Overview
This Terms and Conditions Agreement (the “Agreement”) constitutes a legally binding contract between Aura Assistant Inc. (“Aura Assistant,” “Company,” “we,” “us,” or “our”) and any individual or legal entity (“User,” “Customer,” “Client,” or “you”) that accesses, registers for, purchases, or uses any services provided by Aura Assistant.
These services include, without limitation:
- AI‑powered virtual agents and front desk systems
- voice automation systems
- workflow automation tools
- software platforms
- hosted infrastructure
- APIs and integrations
- websites, applications, dashboards, and portals
- support services and related materials
(collectively, the “Services”).
The Services are made available through AuraAssistant.com, affiliated domains, subdomains, hosted platforms, partner portals, and any future delivery channels.
By accessing or using the Services in any manner, you acknowledge that:
- you have read and understood this Agreement
- you agree to be legally bound by its terms
- you have the authority to enter into this Agreement
- you will comply with all applicable laws
If you do not agree, you must immediately discontinue use of the Services.
1.2 Binding Nature and Acceptance
This Agreement applies to all Users, including:
- individual consumers
- businesses and organizations
- partners and affiliates
- agents acting on behalf of an entity
- visitors to the website
- trial users
- paying subscribers
- individual consumers
- businesses and organizations

Acceptance occurs through any of the following actions:
- accessing the platform
- creating an account
- purchasing services
- using trial features
- clicking acceptance checkboxes
- continuing to use the Services after updates
Your acceptance creates a legally enforceable contract under applicable law.
1.3 Definitions
For clarity:
“Company” refers to Aura Assistant Inc., its subsidiaries, affiliates, officers, employees, contractors, successors, and assigns.
“Services” refers to all digital products, platforms, AI systems, voice agents, automation tools, and support offerings provided by Aura Assistant.
“Platform” refers to the technical infrastructure delivering the Services.
“Account” refers to a registered user profile used to access the Services.
“Customer Data” refers to any data provided by the Customer or processed on their behalf.
“User‑Generated Content” refers to materials uploaded or created by Users.
1.4 Relationship of the Parties
Nothing in this Agreement creates:
- a partnership
- joint venture
- employment relationship
- agency relationship
- fiduciary relationship
The parties remain independent contractors.
1.5 Right to Modify Services
Aura Assistant reserves the right to:
- modify features
- discontinue services
- introduce new capabilities
- change infrastructure
- update pricing structures
at any time, subject to applicable law and this Agreement.
2.0 ELIGIBILITY AND ACCOUNT REGISTRATION
2.1 Legal Capacity
You represent that:
- you are at least 18 years of age (or age of majority in your jurisdiction)
- you have legal authority to enter contracts
- if acting for an entity, you are authorized to bind that entity
Accounts created by unauthorized individuals may be terminated.
2.2 Compliance with Laws
You agree that your use of the Services will comply with all applicable:
- local laws
- national laws
- international regulations
- export controls
- sanctions regimes
- data protection requirements
Aura Assistant may restrict access in jurisdictions where provision of Services would be unlawful or commercially impractical.
2.3 Account Creation
You agree to provide accurate, complete, and current information during registration, including:
- identity details
- contact information
- billing data
- business information (if applicable)
Failure to maintain accurate information may result in suspension or termination.
2.4 Account Security
You are solely responsible for:
- safeguarding login credentials
- restricting account access
- monitoring activity
- reporting breaches immediately
Aura Assistant is not liable for unauthorized access resulting from your failure to secure credentials.
3.0 DESCRIPTION OF SERVICES
Aura Assistant provides AI‑driven digital solutions designed to automate communication, customer engagement, and operational workflows.
Services may include:
- AI front desk agents
- automated call handling
- conversational AI
- CRM integrations
- scheduling automation
- customer interaction management
- analytics dashboards
- deployment services
- onboarding support
The Services may rely on third‑party infrastructure, telecommunications providers, AI models, and cloud platforms.
3.1 No Guarantee of Outcomes
Aura Assistant does not guarantee:
- specific business results
- revenue increases
- customer acquisition outcomes
- uninterrupted availability
- error‑free operation
AI systems are probabilistic and may produce unexpected outputs.
3.2 Service Availability
Service availability may be affected by:
- network conditions
- maintenance
- third‑party failures
- force majeure events
- software updates
Aura Assistant is not liable for temporary disruptions.
3.3 Not Professional Advice
The Services do not constitute:
- legal advice
- medical advice
- financial advice
- regulatory guidance
Users remain responsible for business decisions.
4.0 USER RESPONSIBILITIES
You agree to use the Services only for lawful purposes and in good faith.
Prohibited uses include:
- fraud
- harassment
- illegal activities
- unauthorized data collection
- reverse engineering
- security circumvention
- transmission of harmful code
- impersonation or misrepresentation
Violation may result in immediate termination.
5.0 SUBSCRIPTION PLANS, FEES, AND PAYMENTS
5.1 Pricing Structure
Certain Services require payment of:
- setup fees
- subscription fees
- usage fees
- add‑on charges
Fees are disclosed at the time of purchase.
5.2 Setup Fees
For services involving deployment (such as AI Front Desk systems), a one‑time setup fee may apply. This fee covers:
- system configuration
- AI training
- infrastructure provisioning
- onboarding support
- integration work
Setup fees are generally non‑refundable once onboarding begins.
5.3 Recurring Billing
Subscriptions renew automatically unless canceled before the next billing cycle.
You authorize Aura Assistant to charge your payment method accordingly.
5.4 Non‑Payment
Failure to pay may result in:
- service suspension
- feature restrictions
- termination
- collection efforts
Outstanding balances remain payable after termination.
6.0 INTELLECTUAL PROPERTY
All rights in the Services remain the exclusive property of Aura Assistant or its licensors.
You receive only a limited, revocable license to use the Services.
You may not:
- copy or resell the platform
- reverse engineer systems
- reproduce proprietary materials
- use trademarks without permission
7.0 PRIVACY AND DATA PROTECTION
Use of the Services is governed by the Privacy Policy, incorporated by reference.
You consent to:
- collection and processing of data
- storage in various jurisdictions
- operational use of data to deliver Services
Aura Assistant implements reasonable security measures but cannot guarantee absolute security.
7.1 Messaging Terms & Conditions (SMS / MMS Communications)
By providing your mobile phone number to Aura Assistant Inc., you consent to receive informational and operational communications from Aura Assistant, which may include:
- Appointment reminders
- Account notifications
- Service updates
- Onboarding instructions
- System alerts
- Customer support messages
- Administrative communications related to your use of the Services
Message frequency may vary depending on your interactions with the Company and the Services you use.
Standard message and data rates may apply according to your wireless carrier plan. Aura Assistant is not responsible for any charges imposed by your carrier.
For assistance, you may:
- Reply HELP to any message

You may opt out of receiving text messages at any time by replying STOP to any message. After opting out, you will no longer receive SMS communications unless you provide renewed consent.
Consent to receive messages is not a condition of purchase.
7.2 Messaging Privacy Policy
Aura Assistant respects your privacy and the confidentiality of your personal information.
No mobile information will be shared with third parties or affiliates for marketing or promotional purposes.
All other categories of personal data exclude text messaging originator opt‑in data and consent; this information will not be shared with or obtained by any third parties, except as required to deliver messaging services (e.g., telecommunications providers).
If you wish to be removed from receiving future communications, you may:
- Reply STOP to any text message

8.0 THIRD‑PARTY SERVICES
The Services may integrate with external providers (telephony, cloud hosting, payment processors, etc.).
Aura Assistant is not responsible for:
- third‑party outages
- data practices of third parties
- performance of external services
Your use of such services is subject to their terms.
9.0 LIMITATION OF LIABILITY
To the maximum extent permitted by law:
Aura Assistant shall not be liable for:
- indirect damages
- loss of profits
- loss of data
- business interruption
- consequential damages
Total liability shall not exceed the greater of:
- amounts paid in the prior 12 months, or
- USD $100
10.0 INDEMNIFICATION
You agree to indemnify and hold Aura Assistant harmless from claims arising from:
- misuse of Services
- violation of law
- infringement of third‑party rights
- unauthorized activities conducted through your account
11.0 TERMINATION
Aura Assistant may suspend or terminate Services for:
- breach of Agreement
- non‑payment
- illegal use
- security risks
- regulatory requirements
Upon termination:
- access ceases immediately
- licenses terminate
- data may be deleted per retention policies
12.0 DISPUTE RESOLUTION
Governing Law: Delaware, USA.
Disputes shall be resolved through binding arbitration administered by the American Arbitration Association.
Class actions and jury trials are waived to the extent permitted by law.
13.0 MODIFICATIONS TO TERMS
Aura Assistant may update these Terms at any time.
Material changes will be communicated through reasonable channels.
Continued use of the Services constitutes acceptance of revised Terms.
14.0 MISCELLANEOUS
If any provision is invalid, remaining provisions remain enforceable.
Failure to enforce any right does not constitute waiver.
Aura Assistant may assign this Agreement without restriction.
15.0 ACCEPTANCE AND ACKNOWLEDGMENT
By using the Services, you acknowledge that you have read, understood, and agree to these Terms in their entirety.
If you do not agree, you must discontinue use immediately.
